Please read these Terms of Use ("Terms") carefully before using the website operated by William Luxe LLC d/b/a William Luxe New York ("William Luxe," "we," "us," or "our"). Through the William Luxe New York website and any affiliated sites (collectively, the "Site"), you can browse and search real estate listings in our designated service areas. Your use of the Site is subject to these Terms, which include our Privacy Policy. You must agree to these Terms before using the Site or any of the services offered through the Site (collectively, the "Service"). These Terms constitute a binding contract between William Luxe LLC d/b/a William Luxe New York and you ("you"). BY USING THE SITE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ACCESS OR USE THE SITE.

1. Scope of Use and Broker Advertising

This website constitutes broker advertising pursuant to New York State law. William Luxe New York is a licensed real estate brokerage operating in the State of New York under the supervision of the NYS Department of State, Division of Licensing Services. The purpose of this Site is to assist customers in contacting William Luxe New York and its agents concerning real estate rental and sales listings and any other services offered by William Luxe. You represent that you are a prospective purchaser, seller, lessee, or lessor of real property in the geographic areas where William Luxe is licensed and operating, with a bona fide interest in the purchase, sale, or lease of such real property. The market area served by the Site includes New York City and surrounding areas where William Luxe is licensed.

2. No Agency Relationship

Neither the use of this website, nor any communication through this website, including contact form submissions, email correspondence, or informational inquiries, creates a broker-client, fiduciary, advisory, or agency relationship between you and William Luxe New York or any of its licensed agents or salespersons. A formal broker-client relationship is only established through the execution of a written, signed listing agreement or buyer agency agreement. By agreeing to these Terms, you acknowledge you are entering into a lawful broker-consumer relationship as may be defined under state law. The relationship is not exclusive and you are not obligated to work with William Luxe.

3. Registration and Accounts

Certain features of the Service may require you to create an account with a username and password (the "Account"). You may not share your password with anyone else. Any use of the Service through your Account will be deemed as being used by you. Your Account is non-transferable and non-assignable. You must always provide accurate, current, and complete information. You must be eighteen (18) years of age or older to register for an Account.

4. Consent to Contact; SMS Terms

BY SUBMITTING YOUR CONTACT INFORMATION THROUGH THIS SITE, YOU CONSENT TO RECEIVE PERSONALIZED EMAILS, TELEPHONE CALLS, AND/OR TEXT MESSAGES FROM WILLIAM LUXE NEW YORK. You may opt out at any time by contacting us directly.

SMS / Text Messaging Terms. When you give William Luxe New York your mobile number and agree to be texted — on a call, in person, by email, or through this Site — we may send you text messages to confirm and remind you of showing appointments and consultations, to propose alternative appointment times, and to answer questions you have asked us. Consent to receive text messages is not a condition of purchasing any property or service. Message frequency varies by appointment, typically one to four messages per appointment. Message and data rates may apply. You may opt out at any time by replying STOP to any message; you will receive one final message confirming that you have been unsubscribed. For help, reply HELP to any message or email support@williamluxe.com. Wireless carriers are not liable for delayed or undelivered messages. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes; see our Privacy Policy for how we handle your information.

5. Broker Restrictions

Any real estate broker, salesperson, agent, or similar state-licensed real estate professional ("Real Estate Agent") who uses any Content must first enter into a co-brokerage agreement with William Luxe. We authorize the Real Estate Board of New York ("REBNY") and/or REBNY Listing Service ("RLS") brokers to access the Site for purposes of verifying compliance with these Terms, co-brokerage agreements, or any applicable RLS rules or policies. We reserve the right to deny or terminate access to any Real Estate Agent. No person, including any Real Estate Agent, may market or make commercial use of the Content in any way, including without limitation advertising our property listings, copying our Content for commercial use, or contacting our customers or the owners or sellers of any properties listed on the Site.

6. No Professional Advice

All content on this website is provided for general informational purposes only. Nothing on this Site constitutes legal, financial, tax, investment, or professional advice. You should consult with qualified professionals before making any real estate, financial, or legal decisions.

7. Accuracy of Information; Use at Your Own Risk

All information on this website, including but not limited to property descriptions, market data, statistics, neighborhood information, price estimates, projections, and comparable sales data, is deemed reliable but is not guaranteed to be accurate, complete, or current. Any listing on the Site may be updated, changed, modified, withdrawn, sold, or rented at any time without notice. Any furnishings, decorations, and artist representations are provided for illustrative purposes only. All square footage and dimensions are approximate. Before you act on any information found on the Site, you should independently confirm any facts important to your decision, including obtaining exact dimensions by retaining the services of a professional architect or engineer. IF YOU RELY ON ANY INFORMATION, CONTENT, OR SERVICE AVAILABLE THROUGH THE SITE, YOU EXPRESSLY AGREE THAT YOU DO SO SOLELY AT YOUR OWN RISK.

8. Commission Disclosure

There are no standard or required commission rates in New York real estate. All broker compensation is fully negotiable and determined between the parties to a transaction. Nothing on this website should be construed as setting, suggesting, or recommending any particular commission rate or fee structure.

9. Intellectual Property and Content

Any content available through the Site, including applications, software, text, audio, video, photos, pictures, graphics, images, and other works of authorship (collectively, "Content") is protected by the intellectual property rights of William Luxe or its licensors. All right, title, and interest in and to the Site and any Content will remain the exclusive property of William Luxe New York and its licensors. William Luxe grants you a limited, revocable, non-transferable, non-sublicensable, non-exclusive license to privately display the Content on your computer and to download and print a single copy thereof for personal, non-commercial use only. You may not reproduce, distribute, modify, publicly perform or display, or prepare derivative works of any Content without prior written consent.

10. User Restrictions

You must not do, or attempt to do, any of the following: access or use the Site in violation of any applicable law; use any Content in violation of any applicable laws, rules, or regulations, including the rules of REBNY, the NYS Department of State, or any listing agency; use any robot, spider, scraper, or other automated means to access the Site or extract data; frame any part of the Site or link to the Site in a way that suggests endorsement; reverse engineer any software or aspect of the Site; send harmful code such as viruses or spyware; or take any action that would impose an unreasonable burden on the Site's infrastructure. You agree that you will not access the Data through automated or high-volume means, and you will not "scrape," harvest, or otherwise copy the Data except for your personal, non-commercial use solely to identify properties you may be interested in.

11. Warranty Disclaimer and Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NO MEMBER OF THE WILLIAM LUXE GROUP SHALL BE LIABLE TO YOU OR ANY OTHER THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR ACCESS TO OR USE OF THE SITE. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE OR THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

12. Jurisdiction; Choice of Law; Waiver of Jury Trial

THESE TERMS AND ALL PERFORMANCES AND CLAIMS OF EVERY NATURE BETWEEN US ARE GOVERNED BY THE LAWS OF THE STATE OF NEW YORK, WITHOUT REGARD TO ANY CONFLICT OF LAWS PRINCIPLES. YOU AND WILLIAM LUXE SUBMIT TO THE EXCLUSIVE PERSONAL JURISDICTION AND VENUE OF THE STATE AND FEDERAL COURTS LOCATED WITHIN THE CITY OF NEW YORK. THE PARTIES HERETO WAIVE ANY RIGHT TO REQUEST A TRIAL BY JURY. ANY ACTION CONCERNING ANY DISPUTE WITH RESPECT TO THE SITE MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF THE DISPUTE ARISES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY AND ALL DISPUTES WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.

13. Indemnification

BY CHOOSING TO USE THE SITE, YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE WILLIAM LUXE GROUP FROM ANY AND ALL CLAIMS OR DAMAGE, INCLUDING ATTORNEY'S FEES, ARISING OUT OF OR RELATED TO: (1) CONTENT YOU CHOOSE TO SUBMIT, POST, OR TRANSMIT THROUGH THE SITE; (2) YOUR USE OF OR CONNECTION TO THE SITE; (3) YOUR VIOLATION OF THESE TERMS; OR (4) YOUR VIOLATION OF ANY RIGHTS OF ANOTHER.

14. New York State Disclosures

New York Real Property Law §443-a requires real estate licensees to provide a written disclosure regarding agency relationships at the first substantive contact with a buyer or seller. William Luxe New York complies with all applicable NYS Department of State regulations governing real estate licensees, including 19 NYCRR Part 175. The New York State Disclosure Form for Buyers and Sellers and the New York State Disclosure Form for Landlords and Tenants are available for download below and will be provided to all clients at the appropriate time during a transaction.

We may, at any time, terminate your access to the Site and your Account, for any reason, consistent with applicable laws, including if we believe you may have violated these Terms. Upon termination, your agreement with William Luxe pursuant to these Terms will also terminate, except for sections that by their nature should survive, including Intellectual Property, Warranty Disclaimer, Limitation of Liability, Indemnification, and Jurisdiction provisions.

20. Miscellaneous

These Terms comprise the entire agreement between you and William Luxe New York with respect to the use of the Site. If any part of these Terms is held to be invalid or unenforceable, the remainder will remain in full effect. These Terms are personal to you and may not be transferred or assigned without our written permission. The failure of any party to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

21. Copyright Notices (DMCA)

William Luxe respects the intellectual property rights of others. In accordance with the Digital Millennium Copyright Act of 1998 (DMCA), if you believe that your work is being used on the Site in a way that constitutes copyright infringement, please contact us at support@williamluxe.com with the following: identification of the copyrighted work; identification of the allegedly infringing material with sufficient information to locate it; your name, address, telephone number, and email address; a statement of good faith belief; and a statement under penalty of perjury that you are the copyright owner or authorized to act on the owner's behalf.
